These Terms of Use ("Terms") govern your access to and use of StockSync AI ("Service"), operated at stocksync-ai.com. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use StockSync AI, as the Service relates to financial markets and investment research. By using the Service, you confirm you meet this requirement and are using it for lawful research purposes only.

2. Description of Service

StockSync AI is a web-based educational tool that uses artificial intelligence to identify publicly traded companies that may be relevant to keywords or investment themes entered by the user. The Service is available in a free tier (limited searches per day) and a paid Pro tier (unlimited searches).

We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. Not Financial Advice — Critical Disclaimer

StockSync AI is strictly an educational and research tool. The stock ideas and information generated by this Service:

• Do NOT constitute financial advice, investment advice, or investment recommendations
• Do NOT constitute a solicitation or offer to buy or sell any security
• Are NOT personalized to your financial situation, risk tolerance, or investment objectives
• May be inaccurate, incomplete, or outdated
• Are generated by artificial intelligence and have not been reviewed by a licensed financial advisor

StockSync AI does not hold any financial advisory license, broker-dealer registration, or investment adviser registration in any jurisdiction. Past performance of any mentioned security is not indicative of future results. Investing in stocks involves significant risk, including the possible loss of principal.

Always conduct your own research and consult a qualified, licensed financial advisor before making any investment decision.

4. Acceptable Use

You agree to use StockSync AI only for lawful, personal research purposes. You agree not to:

• Use the Service to make or influence real investment decisions without independent professional advice
• Redistribute, resell, or commercialize the AI-generated output without our written permission
• Use automated tools, bots, or scrapers to access or abuse the Service
• Attempt to reverse engineer, copy, or replicate the Service or its underlying technology
• Use the Service in any way that violates applicable laws or regulations
• Circumvent usage limits or rate restrictions through technical means

5. Accuracy of Information

The stock ideas generated by StockSync AI are produced by a large language model based on its training knowledge. The AI may produce:

• Outdated information about companies, tickers, or market caps
• Incorrect ticker symbols or exchange listings
• Companies that are no longer publicly traded or have been delisted
• Inaccurate descriptions of a company's business activities

You are solely responsible for verifying any information before acting on it. We strongly recommend checking Yahoo Finance or other reliable financial data sources to verify all details.

6. Pro Subscriptions and Payments

6.1 Billing

Pro subscriptions are billed in advance on a monthly or annual basis via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

6.2 Cancellation

You may cancel your Pro subscription at any time. Cancellation takes effect at the end of the current billing period. You retain Pro access until that date.

6.3 Refunds

We offer a 7-day refund for new subscribers who are not satisfied. After 7 days, all payments are non-refundable. We do not issue partial refunds for unused time within a billing period.

6.4 Price changes

We reserve the right to change subscription prices with at least 30 days' notice. Continued use after the price change constitutes acceptance.

7. Intellectual Property

The StockSync AI name, logo, website design, and underlying technology are our property. You may not reproduce or distribute our proprietary materials without written permission. The AI-generated stock ideas are provided for your personal research use only and may not be republished or redistributed commercially.

8. Third-Party Links

StockSync AI links to Yahoo Finance and other third-party sites for live market data. We are not responsible for the content, accuracy, or privacy practices of these external sites.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE AI OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INVESTMENT LOSSES, FINANCIAL DAMAGES, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ANY AI-GENERATED CONTENT. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $10 USD, WHICHEVER IS GREATER.

11. EU / EEA Users — Consumer Rights

If you are a consumer in the EU or EEA, you may have additional rights under applicable consumer protection laws. These Terms do not exclude mandatory consumer rights. EU consumers have a statutory 14-day right of withdrawal from distance contracts; however, by proceeding with a Pro subscription and requesting immediate access to the digital service, you expressly waive this right in accordance with Article 16(m) of the EU Consumer Rights Directive.

12. Governing Law

For US users: These Terms are governed by the laws of the State of Delaware. Disputes shall be resolved in the state or federal courts of Delaware.

For EU/EEA users: Nothing in these Terms limits your right to bring claims before the courts of your country of residence or to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13. Regulatory Compliance Notice

Users in certain jurisdictions may be subject to specific financial regulations regarding the use of investment research tools. It is your responsibility to ensure that your use of StockSync AI complies with all applicable laws and regulations in your jurisdiction, including any rules imposed by financial regulators such as the SEC (US), FCA (UK), AMF (France), BaFin (Germany), or FINMA (Switzerland).

14. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions continue in full force.
